General Terms and Conditions for Coaches (Yumi42)

0. Scope of Application and Definitions

0.1. Future Flexible Company, Dr.-Heinrich-Maier-Straße 61, 1180 Vienna, Commercial Register Number FN 660502 b, E-Mail: team@yumi42.com (hereinafter 'Yumi42'), operates under the domain yumi42.com, along with additional country-specific domains, an online platform for Coaching Services (hereinafter the 'Platform').

0.2. These GTC apply to all persons who register on the Platform as Coaches and offer Coaching Services via the Platform (hereinafter individually or jointly the 'Coach(es)'). They govern the rights and obligations of the Coaches when visiting and using the Platform in its current version.

0.3. Customers (natural persons or companies) use the Platform to book Coaching Services. The contractual relationship between Customers and Yumi42 is governed by separate General Terms and Conditions for Customers.

0.4. Personal designations used in these GTC in masculine form apply equally to all genders. This is for readability only.

0.5. Supplementary rules for the use of the Platform (including off-platform rules, cancellation and no-show rules, quality standards, data protection and communication rules) are set out in the Yumi42 Help Center at help.yumi42.com. These rules, in their current version, form a supplementary part of the contractual relationship between Yumi42 and the Coach, insofar as they relate to using the Platform and the relationship between Coach, Customer, and Yumi42. In case of conflict between the Help Center and these GTC, these GTC shall prevail.

1. Subject Matter of the Contract, Role of Yumi42

1.1. The platform 'Yumi42' enables Coaches and Customers to find, agree upon, and conduct Coaching Services in various formats — including live coaching sessions via online video conference, in-person or hybrid appointments, and asynchronous services (e.g., written reflections, assignments, materials, messaging functions). These services are collectively referred to as 'Coaching Services' or 'Coaching Session(s)'. Yumi42 provides the technical infrastructure, including scheduling functions, user account management, communication tools, and payment processing via third-party providers such as Stripe.

1.2. If a Coach and a Customer agree via the Platform on Coaching Sessions or packages, a contract is formed directly between the Coach and the Customer (the 'Coaching Contract'). Yumi42 is not a party to this Coaching Contract.

1.3. Yumi42 operates the Platform and mediates Coaching Contracts on behalf of Coaches. In addition, Yumi42 provides onboarding, communication tools, appointment handling, and technical billing services. The Coach is solely responsible for the content and quality of their Coaching Services.

1.4. Yumi42 may offer its own independent services on the Platform (e.g., informational programs, events, or proprietary coaching formats). Coaches are not obligated to participate in such services.

1.5. Coaching Services within the meaning of these GTC do not constitute psychotherapy, medical treatment, or any legally regulated healing procedure. They are not a substitute for medical or psychotherapeutic treatment. The Coach must ensure Customers understand that their services are not therapy.

1.6. The Coach confirms that they hold all legally required qualifications, licenses, and permissions necessary to provide the Coaching Services they offer. The Coach is responsible for complying with all applicable legal, professional, tax, and administrative requirements in their jurisdiction. The Coach must inform Yumi42 immediately if any required qualification or authorization is revoked, restricted, or no longer valid.

2. Applicability of the GTC, Amendments

2.1. The use of the Platform as a Coach is governed exclusively by these GTC, as well as any supplementary guidelines and policies of Yumi42 (e.g., Coach Guidelines, Community Guidelines), in their respective valid version. The Coach accepts these GTC and supplementary guidelines during the registration process.

2.2. Deviating, conflicting, or supplementary terms and conditions of the Coach do not become part of the contractual relationship between the Coach and Yumi42, even if Yumi42 does not expressly object to them. Such conditions are only valid if expressly agreed to by Yumi42 in writing.

2.3. Yumi42 may amend these GTC at any time for objectively justified reasons, such as legal changes, technical adjustments, changes to the service offering of the Platform, or adjustments to payment or commission models. Coaches will be informed of material changes in an appropriate way (e.g., via email or Platform notifications).

2.4. If the Coach continues using the Platform after being notified of the amended GTC, the changes are deemed accepted. If the Coach does not agree with the amended GTC, Yumi42 is entitled to suspend or terminate the Coach’s account and contractual relationship.

3. Data Protection and Data Processing

3.1. Information on the protection of Coaches' personal data is available in the current privacy policy of Yumi42 on the respective domains.

3.2. In cases where Yumi42 processes personal data on behalf of Coaches as a processor in connection with coaching activities on the Platform, the regulations described in the privacy policy and any separate data processing agreements apply. In such cases, the Coach remains the controller under data protection law.

3.3. For Coaches based in the European Economic Area (EEA), the applicable standard contractual clauses and security measures related to sub-processors apply, as described in the privacy policy.

3.4. Yumi42 implements industry-standard technical and organisational measures to protect data transmitted via the Platform, including encryption in transit, access controls, and regular security checks. However, no system can be completely protected from unauthorised access.

3.5. Yumi42 does not routinely access the content of chats or communication between Coaches and Customers. Access occurs only in narrowly defined exceptional cases, such as suspected abuse, security incidents, fraud, or where Yumi42 is legally required to do so. The legal basis for such processing is described in the privacy policy.

3.6. Each Coach must fully complete the 'Know Your Customer' (KYC) verification process provided by Stripe before their profile is published or any payouts can occur. Stripe verifies the Coach’s personal and financial information. Without successfully completing KYC, no payouts will be made and the Coach profile will not be activated.

4. Registration as a Coach

4.1. Using the Platform as a Coach requires successful registration and the creation of a personal user account. Registration is generally free of charge.

4.2. There is no entitlement to registration or Platform use. Yumi42 may reject or revoke registrations without stating reasons.

4.3. All information provided during registration (e.g., name, contact details, qualifications, bank details, tax-relevant information) must be complete, correct, and kept up to date.

4.4. Registration as a Coach is only permitted for persons aged 18 or older with full legal capacity. For legal entities, an authorised individual must manage the account.

4.5. After successful registration, Yumi42 provides access data or a secure login method, and a personal Coach account is created.

4.6. The Coach must keep login credentials confidential and is responsible for all activities under their account.

4.7. Registration requires that Coaches operate as entrepreneurs or self-employed professionals and are legally permitted to issue invoices (including VAT where required). Yumi42 may request proof such as a business registration or VAT ID. Coaches operating solely under small-business VAT exemptions may be excluded from using the Platform.

4.8. Information on VAT, tax obligations, and related requirements is available in the Yumi42 Help Center. These GTC apply regardless of the Coach's VAT status.

5. Appointment of Yumi42 as Intermediary

5.1. The Coach appoints Yumi42 to present their Coaching Services on the Platform and to facilitate the conclusion of Coaching Contracts with Customers. Yumi42 does not guarantee any minimum number of Customers, Sessions, or revenue.

5.2. No employment, agency, or social security relationship is created between the Coach and Yumi42. The Coach acts independently, is self-employed, and bears their own entrepreneurial risk.

5.3. The Coach is not authorised to legally represent Yumi42 and must avoid creating the impression of acting on behalf of Yumi42.

5.4. Yumi42 is authorised to accept and process Customer payments on behalf and for the account of the Coach via Stripe (Stripe Connect Express). Payment processing is performed exclusively by Stripe.

6. Service Description and Use of the Platform

6.1. After successful registration, the Coach can offer Coaching Services on the Platform within categories defined by Yumi42 (e.g., Business & Career, Personal Development, Health & Wellbeing). The Coach must provide accurate and truthful descriptions.

6.2. The Coach specifies their topics, methods, and formats, including their general availability. Yumi42 may display Coaches to Customers using matching and recommendation functions.

6.3. Once a Coach and Customer agree to a Coaching Session or package, the Coaching Contract is formed directly between them. Yumi42 informs the Coach when a Coaching Contract is concluded.

6.4. Sessions are generally conducted using Yumi42’s integrated video conferencing tools (e.g., Google Meet) or equivalent services provided by Yumi42. The Coach must follow the technical requirements specified by Yumi42.

6.5. Optional Platform features may allow session documentation (e.g., audio-based AI transcription, summaries, to-dos). Such features may only be used if all necessary consents have been obtained. Video recordings are never created automatically by Yumi42.

6.6. Yumi42 automatically generates invoices for paid Coaching Sessions in the name and on behalf of the Coach, based on information provided by the Coach (e.g., name/company, address, tax information, VAT regime, bank details). The Coach warrants that they are legally authorised to issue invoices under applicable law.

6.7. The Coach remains solely responsible for ensuring the accuracy of tax and accounting information, including income tax, VAT, invoicing rules, and compliance with all taxation obligations. Yumi42 provides only technical billing support and does not offer tax advice.

6.8. Yumi42 may block or withhold activation, invoicing, or payouts if required tax information is missing, incorrect, or appears doubtful.

6.9. Yumi42 may adjust invoice content to correct technical errors or comply with mandatory legal requirements. Any help articles are for informational purposes only and do not create legal obligations.

7. Prices, Commissions, Payment Flow

7.1. The Coach independently sets the net prices (excluding VAT) for their Coaching Services on the Platform. The Coach is solely responsible for the correct tax classification of their services, including determining applicable VAT rates, tax exemptions, place of supply, and reverse-charge rules.

7.2. Price changes made by the Coach become effective immediately for all future Coaching Contracts concluded after the change. For Coaching Contracts already concluded, the previously agreed prices remain in effect.

7.3. Customers pay for Coaching Services via the payment system integrated by Yumi42 (Stripe Connect Express). The payment process works as follows:

a) The Customer pays the full price to the payment service provider (Stripe) during the booking process.

b) After a Coaching Session has taken place and the Dispute Window (two (2) working days) has passed, the Coach’s net amount (Coach price minus Yumi42’s commission) is credited to the Coach’s virtual credit account.

c) Payouts to the Coach are made according to the payout cycle described in Section 8, to the Coach’s verified Stripe account.

7.4. The Coach pays Yumi42 a commission for each Coaching Session mediated and processed through the Platform. The commission is calculated as a percentage of the net session price.

7.5. The commission model is degressive and depends on the number of Sessions conducted with each Customer. Each Customer starts at the highest commission tier for a given Coach. Details, tiers, thresholds, and examples are described in the Yumi42 Help Center article 'Payment, commissions and payouts' and form an integral part of these GTC.

7.6. Yumi42’s commission entitlement arises when a Coaching Contract is concluded but is only realized once the Session is deemed conducted (according to Sections 9 and 10). Yumi42 may deduct its commission directly from Customer payments before crediting the Coach.

7.7. Yumi42 may adjust the commission model for future Coaching Contracts at any time. Coaches will be notified accordingly. Adjustments apply only to new Coaching Contracts concluded after the effective date of the change.

8. Credit Account and Payouts (Payout Cycle)

8.1. Each Coach has a virtual credit account where amounts for completed Coaching Sessions (after deducting Yumi42’s commission) are credited.

8.2. The credit account is maintained in the currency defined by Yumi42 for the respective region. No interest is paid on credit balances.

8.3. Payouts to Coaches are generally made once per month (monthly payout cycle) to the Coach’s Stripe-linked account, provided all technical and regulatory requirements are fulfilled (e.g., completed KYC, no account restrictions).

8.4. Yumi42 may set minimum payout thresholds or payout modalities, which are displayed in the Coach Dashboard. Balances below any minimum amount will carry over to the next cycle.

8.5. When the contractual relationship between Yumi42 and the Coach ends, any undisputed outstanding credit balances will be paid out during the next regular payout cycle unless legal obligations or retention rights prevent this.

8.6. The Coach is solely responsible for all taxes and duties related to their income from coaching activities, including income tax, VAT, and social security contributions. The Coach indemnifies Yumi42 fully against any claims in this regard.

9. Appointment Scheduling, Cancellations, and Dispute Window

9.1. Appointments for Coaching Sessions are scheduled via the Platform. The binding nature and exact timing of the appointment are determined by the data stored in the Platform system.

9.2. Cancellations and rescheduling must be done via the Platform and follow the applicable cancellation policy. If the Coach does not provide their own custom cancellation terms, the following standard Yumi42 rule applies:

a) Cancellation or rescheduling by the Customer up to 48 hours before the Session start: no charge; no entitlement to a fee for the Coach. Payments already made remain as Customer credit.

b) Cancellation or non-appearance by the Customer within 48 hours before the Session start ('No Show'): the Session is considered fully conducted; the price is fully charged; Yumi42 retains the commission, and the Coach receives the agreed net fee.

9.3. Cancellation or Non-Appearance by the Coach:

a) If the Coach cancels or fails to appear on time, they must reschedule the appointment with the Customer via the Platform.

b) If the Coach repeatedly breaches this obligation, Yumi42 may suggest a replacement Coach to the Customer and take further measures (e.g., temporary suspension, permanent termination under Section 13).

9.4. Dispute Window (Consumer Protection Waiting Period):

After a Session is marked as conducted, a Dispute Window of two (2) working days applies, during which the Customer may submit justified objections to Yumi42 (e.g., session did not take place, severe quality issues, technical failure).

a) If no objection is made within the Dispute Window, the Session is considered properly rendered, and the Coach’s credit is released (after commission deduction).

b) If an objection is submitted, Yumi42 may attempt to resolve the matter between Customer and Coach and decide—at its due discretion—whether the Session should be deemed not conducted. Yumi42 may reverse credits or commissions accordingly.

10. Rights and Obligations of the Coach

10.1. The Coach is obliged to comply with all legal provisions applicable to coaching activities, including trade, professional, tax, and consumer protection laws. The Coach bears sole responsibility for possessing all necessary qualifications, approvals, and authorizations.

10.2. The Coach ensures that all content provided on the Platform (including profile descriptions, photos, materials, links, programs) is accurate, up to date, lawful, and does not infringe on third-party rights (including copyright, trademark, and personality rights).

10.3. The Coach must deliver Coaching Services independently, professionally, and diligently, in line with the descriptions provided on their profile and the booked service.

10.4. The Coach undertakes to comply with the Yumi42 'Coach Code of Conduct' available in the Coach Dashboard and Help Center. This Code forms an integral part of these Terms. The Coach must act respectfully, professionally, and non-discriminatorily, maintain professional boundaries, and avoid any behaviour that is harassing, manipulative, degrading, or unlawful. Significant or repeated violations may result in suspension or termination of the coach account.

10.5. The Coach may not record, reproduce, or share Coaching Session content with third parties without the explicit consent of the affected person, except where permitted by Platform features and the privacy policy.

10.6. The Coach must inform Yumi42 immediately if:

a) their contact, bank, or tax-related data changes;

b) legal, professional, or disciplinary proceedings are initiated against them that may affect their reliability as a Coach;

c) security incidents or suspected unauthorized access to their account occur.

10.7. The Coach must treat all internal documents, guidelines, processes, and information received from Yumi42 as confidential and may use them only for Platform-related purposes.

10.8. The Coach is solely responsible for fulfilling all tax obligations arising from their coaching activities, including income tax, VAT, and social security contributions.

11. Off-Platform Use and Circumvention Prohibition

11.1. The Coach undertakes to process coaching relationships with Customers who discovered or contacted them via the Platform primarily through the Platform. This applies especially to bookings, payments, invoicing, and appointment management. Circumventing the Platform for the purpose of avoiding commissions is prohibited.

11.2. The Coach is specifically prohibited from:

a) actively encouraging Customers to book or settle Coaching Services outside the Platform;

b) using the Yumi42 communication channels merely as an acquisition channel to serve Customers off-platform thereafter;

c) offering or agreeing on parallel off-platform services with Customers for identical or substantially similar Coaching Services without processing them via the Platform.

11.3. If the Coach intentionally violates the circumvention prohibition, Yumi42 may suspend or terminate the Coach account without notice and may demand liquidated damages (contractual penalty). The contractual penalty consists of:

a) EUR 1,000.00 per affected Customer; and

b) additionally, the commission amount Yumi42 would have earned from normal platform use with that Customer within a period of up to 24 months.

11.4. The Coach may demonstrate that Yumi42 incurred no damage or significantly less damage. Yumi42 retains the right to claim compensation for damages exceeding the contractual penalty.

12. Use of the Platform, Content, and Rights of Yumi42

12.1. Yumi42 provides the Platform generally 24/7. Downtime may occur due to maintenance, updates, outages, or security measures. There is no entitlement to a particular availability.

12.2. The Platform, underlying software, and all content provided by Yumi42 are legally protected. The Coach receives a limited, revocable, non-exclusive, non-transferable right to use the Platform within the scope of these GTC.

12.3. Yumi42 may offer interactive functions (e.g., ratings, comments, messaging) but is not required to pre-check content. Yumi42 may delete or block content in cases of legal violations or breaches of these GTC.

12.4. The Coach grants Yumi42 a simple, non-exclusive, geographically unlimited, royalty-free right to use, reproduce, display, modify, and store any content uploaded or provided by the Coach to operate and promote the Platform as necessary.

12.5. Automated scraping, data mining, or systematic extraction of Platform content by the Coach is prohibited.

12.6. Yumi42 may adjust, expand, restrict, or discontinue Platform features at any time, provided the legitimate interests of the Coach are reasonably considered.

12.7. Yumi42 does not share Coach data with third-party commercial platforms unless the Coach provides explicit consent.

13. Warranty, Liability, and Indemnification

13.1. The statutory warranty provisions apply to the relationship between the Coach and Yumi42. Yumi42 does not guarantee any specific number of Customer requests, Coaching Contracts, or revenue levels.

13.2. Yumi42 is liable for damages suffered by the Coach only in cases of intent or gross negligence. In cases of slight negligence, Yumi42 is liable only for personal injury. Any further liability — including for lost profit, consequential damages, or data loss — is excluded to the extent permitted by law.

13.3. Yumi42 is not liable for breaches of duty arising from Coaching Contracts between the Coach and Customers. All claims relating to or arising from Coaching Services must be handled exclusively between the Coach and the Customer.

13.4. Yumi42 is not responsible for content uploaded or made available by Coaches or Customers, nor for content on external websites linked from the Platform. Liability for illegal, incorrect, or incomplete content lies exclusively with the respective provider.

13.5. The Coach agrees to fully indemnify and hold Yumi42 harmless from all third-party claims arising from unlawful use of the Platform by the Coach, violations of these GTC, or content the Coach has posted. This includes reasonable legal defense costs.

14. Commencement of Contract, Term, and Termination

14.1. The contractual relationship between Yumi42 and the Coach begins upon successful registration and runs for an indefinite period.

14.2. Both the Coach and Yumi42 may terminate the contractual relationship at any time without stating reasons and with appropriate notice. Termination can occur via written declaration (e.g., email) or via the user account if technically supported.

14.3. The right to extraordinary termination without notice for good cause remains unaffected. Good cause includes but is not limited to:

a) significant or repeated breaches of these GTC or applicable laws;

b) suspicion of fraudulent, abusive, or security-critical activities;

c) violations of the circumvention rules under Section 11.

14.4. Upon termination, the Coach's user account will be suspended. Ongoing Coaching Contracts must still be fulfilled unless legal or factual reasons prevent this. Yumi42 may assist Customers by providing alternative solutions.

14.5. Any undisputed credit balances available at the time of termination will be paid out according to Section 8 unless legal retention obligations apply.

15. Applicable Law and Jurisdiction

15.1. These GTC and all contractual relationships between Yumi42 and the Coach are governed exclusively by Austrian law, excluding international private law rules and the UN Convention on Contracts for the International Sale of Goods. Mandatory consumer protection standards remain unaffected but Coaches are generally acting as entrepreneurs.

15.2. For all disputes arising from or relating to these GTC, the competent court in Vienna shall have jurisdiction, unless mandatory statutory jurisdictions apply.

16. Final Provisions

16.1. In case of contradictions between these GTC and individually agreed-upon written terms, the individually agreed terms prevail.

16.2. If any provision of these GTC becomes invalid or unenforceable, the remaining provisions remain effective. The invalid clause will be replaced with a valid one that closely reflects the original economic intent.

16.3. “Third parties” within these GTC refers to all persons or entities who are neither the Coach nor Yumi42, even if economic or legal relationships exist with them.
